Franklin Templeton Meets SEC on Tokenized Fund Trading Details
Franklin Templeton met SEC Crypto Task Force staff on October 9 to discuss how tokenized money-market fund and ETF shares could trade against tokenized NMS stocks on permissioned venues. The agenda covered whether liquidity providers could charge service fees without running afoul of Section 22(d) and Rule 22c-1 of the Investment Company Act, and whether payment stablecoins or tokenized money-market funds could serve as the cash leg of such trades. The SEC granted no relief; pricing, fees, and liquidity-pool structure remain open.
- Liquidity pools holding baskets of tokenized funds and stocks could themselves be treated as investment companies, leaving the status of LP interests unresolved
- The IMF estimates tokenized RWA at about $65 billion, including roughly $17.5 billion of tokenized money-market funds
- If the rules land, tokenized fund shares could serve directly as onchain collateral, complementing stablecoins
Regulatory Signal
Tokenized funds move from theory into detailed rule design, with pricing and fees as the first gate
Template
The SEC Innovation Exemption’s AMM liquidity-pool model is extending toward fund-share trading
Potential Impact
Yield-bearing assets entering DeFi collateral could reshape stablecoins’ role as the sole onchain dollar

Hong Kong SFC: 17 Tokenized Retail Products Live, AUM Up 78% in a Year
Wu Jiali, executive director of the investment products division at the Hong Kong SFC, said at a forum that the regulator has launched 17 tokenized retail products since setting its tokenization policy in 2023, with total AUM of $1.3 billion and 78% growth over the past 12 months. Under Project Ensemble, the SFC and the Hong Kong Monetary Authority are jointly exploring how tokenized deposits or tokenized money could invest in tokenized funds, testing onchain movement of money within the banking system.
- A tokenized security is a traditional security wrapped in a token; the existing securities law framework and regulatory requirements still apply
- Tokenized structures bring additional risks that warrant supervision; liquidity ultimately depends on market participation
- IMF representative Chen Fangnan in Hong Kong urged technology neutrality, noting legal, regulatory, systems connectivity and settlement remain unresolved
Asia Sample
Retail tokenized products move from pilots into scaling, with 78% annual growth signaling real demand
Dual Track
Tokenized deposits investing in tokenized funds bridge bank money and onchain assets in settlement
Regulatory Stance
Existing securities rules as the base plus targeted risk supervision, without new standalone legislation

ESMA Tells Firms to Pull Non-Compliant Stablecoins as EU Eyes Direct Supervision of Major CASPs
ESMA issued an opinion on October 8 requiring MiCA-authorized service providers to stop offering services involving non-compliant asset-referenced and e-money tokens to EU clients, covering trading platforms, exchange, execution, advice, transfer, custody, and portfolio management. Existing exposure must be remediated within three months. The next day, the EU Council agreed its negotiating position on the Market Integration and Supervision Package, proposing direct ESMA supervision of significant crypto-asset service providers.
- Providers must put in place technical, contractual, and organizational controls preventing clients from acquiring or increasing non-compliant stablecoin exposure
- Availability of a token outside the EU does not excuse EU-authorized providers from restricting local access
- Operations necessary for liquidation, conversion, transfer, or safekeeping may continue temporarily, strictly limited
Enforcement Tightens
The shift from policy proposals to a concrete supervisory position puts national regulators on the hook
Market Impact
Stablecoins without MiCA authorization will gradually exit EU channels, benefiting compliant issuers
Supervisory Architecture
Direct ESMA oversight of major CASPs moves EU crypto regulation into centralized enforcement

XDC and Brazil’s Liqi Expand Tokenized Credit Pledge to $2B as Emerging-Market Adoption Picks Up
XDC Network and Brazilian fintech Liqi have raised their tokenization commitment for regulated Brazilian credit instruments from $500 million to $2 billion, targeting completion by 2028. The initial $500 million target was reached about nine months ahead of schedule, covering receivables, debentures, corporate credit, agricultural credit, and real-estate credit. XDC rose 11.15% in 24 hours following the news, with a market cap near $751 million.
- 21Shares has listed an XDC staking ETP (XDCN), and Bitcoin Suisse offers XDC trading and custody
